These Artist Terms & Conditions (“Terms”) govern the submission, verification, listing, promotion, exhibition, marketing, display, and sale of artworks through Galleryzone Private Limited (“Galleryzone”, “Company”, “we”, “us”, or “our”).
By registering with Galleryzone, submitting an artwork, accepting a listing, or participating in any Galleryzone sales or promotional activity, the Artist (“Artist”, “you”, or “your”) acknowledges that they have read, understood, and agreed to these Terms.
1. Purpose of Galleryzone
Galleryzone operates as a digital art marketplace and art management platform connecting artists with aggregators, collectors, investors, institutions, businesses, and art enthusiasts.
Galleryzone may provide:
Digital artwork listings and portfolios.
Artwork verification and authenticity records.
Digital identity and provenance records.
Online and offline promotion.
Exhibition and display opportunities.
Marketplace and aggregator sales.
Corporate and institutional sales.
Private collector opportunities.
International sales opportunities.
Resale opportunities.
Galleryzone promotes artworks and facilitates opportunities but does not guarantee that any artwork will be sold.
2. Artwork Eligibility
The Artist represents and confirms that:
Every submitted artwork is 100% handmade and created by the Artist.
Once an artwork has been created and listed, the Artist shall not replicate the same artwork again where such replication could adversely affect its uniqueness or value.
AI-generated, AI-assisted, digital, digitally printed, machine-generated, NFT, copied, or reproduced artwork shall not be accepted unless expressly approved by Galleryzone in writing.
The Artist is the lawful owner of the submitted artwork.
The artwork does not infringe any copyright, trademark, intellectual property, ownership, or other third-party rights.
All information supplied to Galleryzone is true and accurate.
Galleryzone reserves the right to reject, delist, suspend, or remove any artwork at its discretion.
3. Artwork Submission Requirements
Before an artwork is shipped or accepted for display, the Artist may be required to provide:
Artwork name.
Dimensions.
Medium/material used.
Subject.
Type/category of artwork.
Year of creation.
Artwork description.
High-quality photographs.
Artist profile.
Certificate of Authenticity (COA).
Government-issued identification.
Artist signature.
Any additional information reasonably requested by Galleryzone.
The Artist is responsible for ensuring that all submitted information is complete and accurate.
4. Digital Artwork Identity and Records
Upon approval, Galleryzone may assign a unique digital identity to an artwork.
Galleryzone may create and maintain:
Digital certificates.
Ownership records.
QR-based verification records.
NFC records, where applicable.
Provenance history.
Artwork transaction history.
Digital Certificate of Authenticity.
These records may be retained as part of Galleryzone's permanent digital records.
5. Artist Verification
Galleryzone may request information to verify the Artist and improve buyer confidence.
Artists may be encouraged to provide relevant social media profiles, including:
Instagram.
Facebook.
YouTube.
X (Twitter).
TikTok.
Artists may also provide studio work, artwork creation content, and work-in-progress material for verification and promotional purposes.
6. Confidentiality of Artist Pricing
The Artist's quoted Artist Price shall remain confidential.
The Artist shall not publicly disclose the quoted artwork price through:
Social media.
Websites.
Videos.
Interviews.
Exhibitions.
Promotional material.
Public comments.
Any other public communication.
A breach of pricing confidentiality may result in removal or delisting of the artwork and/or termination of the Artist's agreement with Galleryzone.
7. Artwork Listing
Artwork listing on Galleryzone is free and no confirmation fee is payable.
However, the Artist must comply with all applicable Galleryzone requirements relating to:
Artwork documentation.
Packaging.
Labelling.
Shipping.
Insurance.
COA.
Artwork quality.
Other mandatory materials or procedures communicated by Galleryzone.
Applicable GST, taxes, shipment charges, delivery charges, convenience charges, insurance charges, and other agreed charges may be deducted from the Artist's final settlement.
8. Sales Channels
Galleryzone may promote or sell artworks through one or more of the following channels:
Online Marketplace (B2C).
Authorized Galleryzone Aggregators.
Art exhibitions.
Corporate sales.
Institutional sales.
Private collectors.
International buyers.
Any other sales channel developed or approved by Galleryzone.
The Artist may independently promote their artwork. However, such promotion must include the applicable Galleryzone artwork link, and buyers must complete purchases through Galleryzone.
Once an artwork has been selected by an authorized Galleryzone Aggregator for display, it shall not be removed from the Galleryzone marketplace until Galleryzone approves its removal or the applicable listing period expires.
9. Artwork Exclusivity During Listing
During the active Galleryzone listing period, the Artist shall not sell or independently list the same artwork through another marketplace, platform, gallery, distributor, or sales channel without Galleryzone's approval.
This restriction applies while the artwork remains actively listed with Galleryzone.
10. Shipping and Transit Insurance
Transit insurance is mandatory unless the Artist voluntarily declines it.
If the Artist declines insurance, the Artist shall bear responsibility for risks including:
Theft.
Fire.
Transit damage.
Loss.
Wear and tear.
Natural disasters.
Other unforeseen incidents.
Where insurance has been declined, Galleryzone, its employees, aggregators, logistics partners, and affiliates shall not be responsible for such loss or damage.
Insurance charges shall be borne by the Artist.
11. Delivery and Transportation Charges
One-time transportation charges for delivering artwork to an assigned Aggregator may be deducted from the Artist's final settlement following a successful sale.
Customer delivery charges may be separately payable by the buyer wherever applicable.
12. Certificate of Authenticity (COA)
The Artist shall complete the Certificate of Authenticity through the official Galleryzone process before shipment.
Galleryzone may retain digital copies of the COA permanently as part of its authenticity and provenance records.
Where a customer requests a physical COA after sale, the Artist shall print, sign, and dispatch the COA through the procedure specified by Galleryzone.
13. Packaging and Artwork Preparation
For artwork displayed through Galleryzone Aggregators:
Artwork must be professionally stretched on canvas or properly framed, as applicable.
Packaging must comply with Galleryzone's shipping requirements.
Required hangers must be provided with the artwork.
Galleryzone may reject artwork that is improperly packed or does not comply with its shipping standards.
The Artist shall ensure the artwork is adequately protected before dispatch.
14. Ownership Before Sale
Ownership of the artwork shall remain with the Artist until a successful sale is completed.
Where applicable, Galleryzone may retain possession of the artwork for display, marketing, exhibition, and sale purposes.
15. Marketing and Promotional Rights
The Artist grants Galleryzone a non-exclusive, worldwide right to:
Photograph the artwork.
Publish artwork images.
Advertise the artwork.
Exhibit the artwork.
Promote the Artist and artwork.
Use artwork images for marketing campaigns.
Use artwork-related content for publications and social media.
Create digital promotional and authenticity records.
These rights apply for the purpose of promoting, displaying, verifying, marketing, and facilitating the sale of the artwork.
16. Ownership After Sale
Upon successful payment and delivery, ownership of the artwork transfers to the buyer.
The Artist retains moral rights as the original creator unless otherwise agreed between the relevant parties.
17. Authenticity and Provenance Records
Galleryzone may maintain records relating to an artwork, including:
Digital Certificate of Authenticity.
Ownership history.
QR verification.
Artwork provenance.
Transaction history.
These records may be used to support authenticity, ownership verification, provenance tracking, and future resale opportunities.
18. Aggregator Display Period
An artwork may remain with an authorized Galleryzone Aggregator for an initial period of 30 days.
If the artwork remains unsold, Galleryzone may, at its discretion:
Relocate the artwork to another Aggregator.
Place it in an exhibition.
Move it to another sales channel.
Modify the marketing strategy.
19. Listing Period
An artwork may remain listed with Galleryzone for a period of up to six (6) months.
If the artwork remains unsold after the applicable listing period, Galleryzone shall coordinate its return.
Any applicable return shipment charges shall be communicated to the Artist in advance.
20. Artist Responsibilities
The Artist agrees to:
Provide genuine and original artwork.
Provide accurate artwork and personal information.
Cooperate with Galleryzone's verification procedures.
Complete the required COA.
Respond promptly to Galleryzone communications.
Maintain professional conduct.
Ensure that the physical artwork matches the photographs and information submitted to Galleryzone.
Follow Galleryzone's packaging, documentation, shipping, and listing requirements.
Maintain confidentiality of the quoted Artist Price.
Comply with these Terms throughout the active listing period.
21. Galleryzone Responsibilities
Galleryzone may:
Promote the artwork.
Maintain digital records.
Connect Artists with buyers.
Facilitate settlements.
Generate authenticity records.
Coordinate logistics.
Coordinate the return of unsold artwork where applicable.
Galleryzone does not guarantee the sale of any artwork.
22. Artist Settlement
Following a successful sale, the Artist shall be entitled to receive the confidential Artist Price, subject to applicable deductions.
Applicable deductions may include:
GST.
Applicable taxes.
Shipment charges.
Delivery charges.
Insurance charges.
Convenience charges.
Any other applicable or agreed deductions.
Settlement shall normally be processed after successful delivery of the artwork and receipt of payment from the buyer.
23. Prohibition of Fraudulent or Misleading Information
The Artist shall not submit:
Counterfeit artwork.
Copied artwork.
False ownership claims.
False Artist information.
Misleading artwork descriptions.
Fraudulent documents.
Misleading authenticity information.
Any such conduct may result in immediate suspension, delisting, termination, and/or other action available to Galleryzone under applicable law.
24. Suspension and Termination
Galleryzone may terminate the Artist's agreement and/or remove artwork if:
The artwork is counterfeit.
False information has been provided.
Pricing confidentiality has been breached.
Intellectual property rights have been violated.
Fraudulent activity is detected.
The Artist breaches these Terms or the applicable MOU.
The artwork fails to meet Galleryzone requirements.
25. Limitation of Liability
To the extent permitted by applicable law, Galleryzone shall not be liable for:
Failure to sell an artwork.
Market fluctuations.
Loss or damage where the Artist has declined applicable insurance.
Indirect or consequential damages.
26. No Guarantee of Sale
Listing or promoting an artwork through Galleryzone does not constitute a guarantee, promise, or assurance that the artwork will be sold.
Sales depend on factors including buyer interest, market conditions, artwork demand, pricing, exhibitions, promotional activity, and other commercial factors. The MOU expressly states that Galleryzone promotes artworks but does not guarantee a sale.
27. Intellectual Property
The Artist remains responsible for ensuring that all submitted artwork and related material does not infringe any third-party intellectual property rights.
The Artist represents that they have the necessary rights and authority to submit the artwork to Galleryzone.
Any intellectual property dispute arising from artwork supplied by the Artist shall be the responsibility of the Artist to the extent provided under applicable law and the parties' agreement.
28. Changes to Terms
Galleryzone may update its operational requirements, procedures, packaging standards, documentation requirements, or other applicable policies from time to time.
Any amendment to the contractual agreement between Galleryzone and the Artist shall be valid only when made in writing and signed by both parties, as provided in the MOU.
29. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of India.
The courts at Hyderabad, Telangana, India shall have exclusive jurisdiction over matters arising under these Terms, subject to applicable law.
30. Entire Agreement
These Terms, together with the applicable Artist MOU and any written documents expressly incorporated into it, constitute the agreement governing the Artist's relationship with Galleryzone concerning the submission, listing, promotion, exhibition, and sale of artworks.
Any amendment to the contractual agreement shall be made in writing and signed by both parties.
31. Artist Declaration and Acceptance
By accepting these Terms, the Artist confirms that:
They have read and understood these Terms.
They have had an opportunity to understand the applicable requirements.
They voluntarily agree to comply with these Terms.
The submitted artworks are original and created entirely by them.
The information provided to Galleryzone is accurate and complete.
They agree to comply with Galleryzone's applicable artwork, documentation, shipping, insurance, pricing, authenticity, and sales procedures.
The original MOU similarly requires the Artist to confirm that they have read and understood the agreement and voluntarily agreed to its terms.
